1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and How Mighty We Ventures LLC, doing business as AI Builders Guild ("Company," "we," "us," or "our"). By accessing our websites, enrolling in our programs, or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

These Terms apply to all visitors, users, clients, and others who access or use our services, including our websites (howmightywe.com, aibuildersguild.com, and related domains), training programs, consulting services, and any other offerings.

2. Description of Services

We provide AI consulting, training, and education services, including but not limited to: AI strategy consulting for organizations; training programs, bootcamps, and courses through platforms including Maven and Skool; speaking engagements and workshops; and educational content and resources.

The specific scope, deliverables, and terms of consulting engagements are defined in separate Statements of Work or consulting agreements between you and the Company.

3. User Accounts

Some services require you to create an account. You agree to: provide accurate and complete information; maintain the security of your account credentials; promptly notify us of any unauthorized access; and accept responsibility for all activities under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Training Programs and Courses

4.1 Enrollment and Access

Enrollment in our training programs is subject to availability and acceptance. Upon enrollment, you receive a limited, non-exclusive, non-transferable license to access program materials for personal, non-commercial use during the program period.

4.2 Payment Terms

All fees are stated in US dollars unless otherwise specified. Payment is due at the time of enrollment unless a payment plan is offered and selected. We use third-party payment processors and do not store your full payment card information.

4.3 Refund Policy

Refund eligibility varies by program. Specific refund terms are communicated at the time of enrollment. Generally, we offer refunds within 14 days of enrollment if you have not accessed more than 25% of program materials. After this period, refunds are at our discretion.

4.4 Program Changes

We reserve the right to modify program content, schedules, and formats. For significant changes, enrolled participants will be notified and may be offered alternatives or refunds as appropriate.

5. Consulting Services

Consulting engagements are governed by these Terms and any separate consulting agreement or Statement of Work. In the event of conflict, the specific consulting agreement controls. Consulting services are provided as professional advice and guidance. Implementation decisions and outcomes remain your responsibility.

6. Intellectual Property

6.1 Our Content

All content provided through our services, including course materials, templates, frameworks, presentations, videos, and written materials ("Company Content"), is owned by How Mighty We Ventures LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise use Company Content except as expressly permitted by these Terms or in writing.

6.2 Limited License

For training program participants, we grant you a limited, personal, non-exclusive, non-transferable license to access and use program materials for your own learning and professional development. You may apply concepts learned to your work but may not redistribute materials or create competing offerings based on our content.

6.3 Your Content

You retain ownership of content you create and share through our services. By sharing content in community forums or discussions, you grant us a non-exclusive license to use, display, and distribute such content within our services.

You agree not to: violate any laws or regulations; infringe intellectual property rights; share login credentials or account access; redistribute or resell our materials; use our services for competing commercial offerings; harass, abuse, or harm other users; disrupt our services or systems; or submit false or misleading information.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOW MIGHTY WE VENTURES LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE OUR SERVICES; (B) ANY CONTENT OBTAINED FROM OUR SERVICES; OR (C) UNAUTHORIZED ACCESS TO YOUR DATA.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless How Mighty We Ventures LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of our services; your violation of these Terms; your violation of any third-party rights; or your content shared through our services.

11. Termination

We may suspend or terminate your access to our services at any time for any reason, including violation of these Terms. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Pennsylvania. You waive any right to participate in class actions.

For EEA and UK Users: This choice of law does not deprive you of protections afforded by mandatory consumer protection laws of your country of residence. You may bring claims in the courts of your country of residence.

13. Changes to Terms

We may modify these Terms at any time. Changes become effective upon posting to our website. For material changes, we will provide notice via email or website announcement. Continued use after changes constitutes acceptance of modified Terms.
